Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MD Progress website and services (the “Service”). By creating an account, starting a trial, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1) Who we are

The Service is provided by MD Progress Corp, 207 Westdale Road, Oakville, Ontario L6L 4Z7, Canada (“MD Progress”, “we”, “us”, or “our”).

2) What we do

MD Progress is a consumer (B2C) platform for medical practitioners to continuously learn and earn/track credits toward continuing medical education (“CME”) requirements. Educational activities and assessments are derived from medical journal articles and are personalized to your practice area. The Service is currently available to users located in Canada and the United States.

3) Eligibility

  • You must be at least 18 years old and a medical practitioner or trainee using the Service for educational purposes.
  • You may not use the Service if you are barred under applicable law or these Terms.

4) Accounts and sign‑in

  • One person per account. Organization/team accounts are not offered.
  • We use Clerk to manage authentication. You may sign in with email/password or optionally via Google OAuth. You are responsible for the security of your credentials and for all activity under your account.
  • We may offer multi‑factor authentication. You are responsible for keeping your contact details current so we can authenticate you.

5) Free trial, subscriptions, renewals, cancellations

  • Free trial: 14 days. After the trial ends, a paid subscription is required to continue access.
  • Plans and currency: Monthly and annual plans are available. All prices are in Canadian dollars (CAD). Applicable taxes are charged at checkout.
  • Auto‑renew: Subscriptions renew automatically at the end of each billing period unless you cancel beforehand.
  • Cancel anytime: You can cancel at any time before the next billing cycle to avoid further charges. When you cancel, you keep access until the end of your current paid period. No refunds are provided for partial periods or unused time.
  • Price changes: We may change prices or plan features. If we do, we will give notice in the Service and/or by email before the change applies to your next renewal. If you do not agree, cancel before renewal.
  • Payments: We use Stripe for payment processing. You authorize us and Stripe to charge your payment method for recurring fees and applicable taxes until you cancel.
  • Disputes/chargebacks: If you believe a charge is in error, contact support@mdprogress.ca before initiating a chargeback. Improper chargebacks may result in suspension.

6) The Service; not medical advice; CME credits

  • Educational use only: The Service and its outputs (including AI‑assisted summaries and recommendations) are for educational purposes and do not constitute medical advice, diagnosis, or treatment. Do not use the Service for emergencies or to make patient‑specific clinical decisions without exercising independent professional judgment.
  • CME credits: We provide learning activities and tools to help you earn or track CME. Credit eligibility, credit type, and acceptance vary by jurisdiction, regulator, and profession. You are solely responsible for verifying that any activity meets your licensing or credentialing requirements and for submitting/claiming credit as required. Unless we explicitly state in writing that a specific activity is accredited/approved, we do not guarantee that any activity will be accepted by any accrediting body.

7) Your content and uploads

Some features (e.g., “Teach Me”) allow you to upload or input content, such as text, images, and documents (“User Content”) to receive personalized learning materials and assessments, including through AI features.

  • Ownership: You retain ownership of your User Content. You grant us and our service providers a non‑exclusive, worldwide, royalty‑free license to host, process, reproduce, and display User Content solely to operate, provide, maintain, and secure the Service for you (including generating responses, recommendations, and assessments, and creating necessary backups). We do not sell your User Content.
  • Responsibility: You are responsible for your User Content and for ensuring you have all necessary rights, permissions, and lawful bases to upload it. Do not upload content that infringes others’ rights or violates law.
  • Sensitive data: If your uploads include information about real persons (including patients), you are responsible for complying with applicable privacy, confidentiality, and professional-standards laws (e.g., de-identifying records where required or obtaining necessary consents). Do not upload content you are not legally permitted to share.
  • Retention: We may retain User Content on our systems for the duration of your use of the Service and for limited periods thereafter for backup, audit, and legal purposes as described in our Privacy Policy.

8) AI‑assisted features; accuracy

  • We may use algorithmic and AI‑assisted tools (including third‑party providers) to analyze User Content and surface relevant journal articles, summaries, and assessments. These tools can be inaccurate or incomplete and may not reflect the latest evidence.
  • You must critically evaluate outputs and rely on your professional judgment. The Service is not a substitute for reading the source literature or following applicable clinical guidelines.

9) Acceptable use

To keep the Service safe and fair, you agree not to:

  • Use the Service in any unlawful way or to violate others’ rights.
  • Upload content that you do not have the right to share, or that is defamatory, obscene, or malware-laden.
  • Attempt to bypass or interfere with access controls, security, or test/assessment integrity.
  • Copy, scrape, harvest, or bulk export content (including journal summaries or assessments) except through features we provide.
  • Reverse engineer, decompile, or attempt to derive source code, except to the limited extent permitted by law.
  • Resell, lease, sublicense, or otherwise provide the Service to third parties.
  • Use outputs from the Service to train or fine-tune external machine learning models without our written permission.

10) Availability and support

  • The Service may change, and features may be added or removed. We strive for high availability but do not guarantee uninterrupted operation.
  • Support is available by email at support@mdprogress.ca. We aim to respond promptly during business hours.

11) Third-party services

We use third‑party services such as Clerk (authentication), Google (optional OAuth), Stripe (payments), hosting providers, and AI/analytics tools. Your use of third‑party sign-in or payment services may be subject to their terms and privacy policies. We are not responsible for third‑party services we do not control.

12) Intellectual property

  • We and our licensors own the Service and all related intellectual property, including software, interfaces, selection and arrangement of content, assessments we create, and branding. Except for the rights expressly granted to you in these Terms, we reserve all rights.
  • We grant you a limited, revocable, non‑transferable license to access and use the Service for your personal, non‑commercial educational use during your subscription.
  • If you send feedback or suggestions, you grant us a free, irrevocable right to use them without restriction or obligation.

13) Termination and suspension

  • You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the then-current billing period.
  • We may suspend or terminate your access if you breach these Terms, fail to pay fees, engage in fraud or misuse, or if required by law. If we terminate for cause, no refunds are provided. If we discontinue the Service entirely, we will provide notice and, where required by law, a refund for any prepaid, unused period.

14) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT RESULTS WILL MEET YOUR REQUIREMENTS.

15) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MD PROGRESS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12‑MONTH PERIOD IS LIMITED TO THE AMOUNTS YOU PAID TO MD PROGRESS FOR THE SERVICE IN THAT 12‑MONTH PERIOD.

Some jurisdictions do not allow certain disclaimers or limits; in those cases, the above applies to the maximum extent permitted by law.

16) Indemnity

You will indemnify and hold harmless MD Progress and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content; (b) your use of the Service; or (c) your breach of these Terms or applicable law.

17) Privacy

Our collection and use of personal data are described in our Privacy Policy. By using the Service, you consent to those practices.

18) Geographic scope; data location

The Service is intended for users in Canada and the United States. We and our service providers may process data in Canada and the United States. We do not promise that the Service is appropriate or available in other locations.

19) Changes to the Service or these Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will provide notice in the Service and/or by email. Changes take effect upon posting or as stated in the notice. If you do not agree, stop using the Service and cancel before your next renewal.

20) Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and we agree to the non‑exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Service, subject to any non‑waivable consumer-protection rights.

21) Miscellaneous

  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede prior or contemporaneous agreements on that subject.
  • Severability: If any provision is found unenforceable, the rest remains in effect.
  • No waiver: Our failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms (e.g., in a merger or sale).
  • Notices: We may send notices to the email associated with your account or by posting in the Service. You may send legal notices to support@mdprogress.ca or by mail to our address above.
